Silver Star Properties (SSSS) Criticized by Hartman Shareholder Alliance for Poison Pill Tactics to Undermine Shareholder Vote

Summary

The Hartman Group accuses Silver Star of enacting a second "poison pill" to block shareholder action and entrench the board, effectively tripling shareholder holdings. They clarify that prior votes on the BLUE proxy card remain valid for all shares, including the newly issued ones, and no new BLUE vote is required. They warn shareholders not to be misled by Silver Star’s communications or to respond to their calls, reiterating that voting WHITE is unnecessary and misleading.

On July 17, 2025, the Hartman Group distributed the following letter to shareholders:

July 17, 2025

Dear Shareholder,

Silver Star has triggered a second “poison pill” — a legal tactic to block shareholder action and entrench the incumbents. As a result, each shareholder (except the Acquiring Person) will see their holdings effectively tripled.

The Hartman Shareholder Alliance is honoring that split. Your prior vote on the BLUE card automatically covers your full, adjusted share count. You do NOT need to submit a new BLUE card for the “new” shares created by Silver Star’s maneuver.

Let’s be clear:
✅  The BLUE card is a valid vote for all of your shares, including the additional shares issued under the poison pill.
❌  You do NOT need to vote on the WHITE card.

Silver Star is using misleading tactics to confuse shareholders into thinking their vote doesn’t count unless cast on the white card — that is false.

Please ignore further calls or emails from Silver Star. If they call you — especially on a recorded line — we recommend you hang up. They do not need your vote or your information.

You also do not need to attend their proxy meeting. No important matters will be discussed — they’ll simply announce their own vote count.

We’ll continue to keep you informed.
